Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of XOXO, including xoxo.fan, profile pages, private messaging, wallet features, paid digital content, Creator tools, and related services (collectively, the “Services”). A “Creator” is a user who uses XOXO to publish or offer content or communicate with Fans. A “Fan” is a user who views Creator pages, communicates with Creators, or purchases content through the Services. “XOXO,” “we,” and “us” refer to the XOXO service; “you” means any person who accesses or uses the Services.

By creating an account or using the Services, you agree to these Terms and the XOXO Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

Creators must be at least 18 years old and complete the verification process presented by XOXO before publishing content or receiving messages. You may use the Services only if you are legally able to enter into a binding agreement under the laws that apply to you and are not prohibited from using the Services.

You represent that the information you provide is accurate, that you are legally permitted to use the Services, and that you have not been barred from using XOXO for a violation of these Terms or applicable law.

2. Accounts and security

You are responsible for your account credentials and activity under your account. Do not share, sell, or transfer your account. Keep your account information accurate and promptly notify us at [email protected] if you believe someone has accessed your account without permission.

We may request information reasonably needed to verify your age, identity, account, or payout eligibility. Information submitted for verification is handled under the Privacy Policy.

3. The Services and Creator offers

XOXO provides tools that allow Creators to present profiles, communicate with Fans, and offer paid messages and digital content. Creators are responsible for the content and offers they provide, including accurately describing what a Fan will receive.

A purchase grants access to the specific message or content described in the purchase flow. It does not create a recurring subscription unless the purchase flow clearly identifies it as one. XOXO does not guarantee that any Creator will earn money, receive a particular number of messages, or reach a particular audience.

4. Fan wallet and paid unlocks

A Fan may add funds to their wallet and use those funds for eligible purchases on XOXO. Adding funds to a wallet is not a Creator transaction and does not create Creator earnings. Wallet funds remain the Fan’s balance until the Fan spends them.

A Creator earns only when a Fan actually spends wallet funds to unlock paid content or a premium message. At that time, the transaction is recorded and the applicable platform fee, Creator share, and payment-processing fees are applied. The Fan’s wallet balance is separate from Creator earnings and from funds paid out to a Creator.

Wallet funds may be used only for purchases on XOXO and may not be transferred to another user or withdrawn as Creator earnings. Prices are shown before the Fan confirms a purchase.

5. Creator earnings and fees

For eligible paid unlocks, XOXO’s current platform fee is 15% of the applicable unlock transaction. The Creator share is 85% before payment-processing fees. Payment-processing fees are borne by the Creator and reflected in the transaction or earnings records.

The fee information stored for a transaction controls that transaction’s accounting. A later fee change does not retroactively alter a fee already recorded for a completed transaction.

A refund, payment dispute, chargeback, reversal, fraud determination, or payment-provider correction may adjust the original transaction and related Creator or referral earnings. We record applicable adjustments in the relevant account or ledger. Where an adjustment exceeds a Creator’s available earnings, the account may show a negative balance and future eligible earnings may be applied to it, subject to applicable law.

Creators are responsible for their own tax returns, reporting, and other tax obligations. XOXO may request tax or payment information and make reports or withholdings when required by law.

6. Creator verification and manual payouts

Creators may request a payout from the Payouts area when eligible funds are available. A payout request is not itself an approval or payment.

A Creator who has not completed verification may have a request marked Waiting for verification. After verification is approved, the request may move to Ready for review. An authorized XOXO administrator reviews the request and may approve or reject it. If a request is rejected, the funds reserved for it are released back to the Creator’s available balance, subject to transaction adjustments described in these Terms.

Payouts are processed manually. A request is recorded as Paid only after an authorized administrator records the payment, payment date, and payment reference. The payout details and method requested are those shown in the current verification and payout flow; they may change. Transactions in different currencies are handled separately without an assumed currency conversion.

7. Creator referral program

The Creator referral program is also governed by the separate Referral Program terms and rules presented by XOXO. Under the current program, a qualifying referrer may earn 50% of XOXO’s 15% platform fee on qualifying activity from a referred Creator during that Creator’s first four months. This equals 7.5% of the qualifying unlock transaction amount, before applicable reversals or adjustments.

Referral attribution, the event that starts the four-month period, eligible transactions, and referral payout conditions are determined by the Referral Program rules. A referral link, click, or registration alone does not guarantee a commission. Refunds, chargebacks, and other reversals may reverse or reduce a related referral commission.

8. Content ownership and license

You retain ownership of content you upload. You grant XOXO a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, and deliver that content as needed to operate and provide the Services to you and the intended recipients.

This license ends when you delete the content or your account, except for copies retained in backups or as needed to complete transactions, resolve disputes, comply with law, protect the Services, or enforce these Terms.

Creators represent that they own or have all rights and permissions needed to upload and distribute their content through XOXO. Creators must obtain documented consent from every identifiable person depicted or heard in content they upload. You may not upload content that violates another person’s rights or these Terms.

9. Prohibited conduct and content

You may not use XOXO to:

  • Upload, request, or distribute sexual content involving anyone under 18, or content that depicts or promotes the sexual exploitation of a minor.
  • Share intimate images of another person without their consent or threaten to share such images.
  • Promote trafficking, coercion, exploitation, or illegal sexual services.
  • Impersonate another person or mislead users about who is communicating.
  • Infringe copyright, trademark, privacy, publicity, or other rights.
  • Harass, threaten, stalk, extort, defraud, or discriminate against another person.
  • Send spam, phishing links, malware, or unsolicited mass messages.
  • Manipulate transactions, abuse refunds or chargebacks, use stolen payment information, or evade fees.
  • Circumvent account restrictions or interfere with the security or operation of the Services.

All content must comply with applicable law and the requirements of XOXO’s payment and service providers. XOXO may remove content or restrict accounts to enforce this section or respond to safety, legal, or provider requirements.

10. Reports, moderation, and account action

Report content or conduct through the reporting tools in the Services or by contacting [email protected]. We may investigate reports, remove or restrict content, reserve funds connected to disputed transactions, limit features, or suspend or terminate accounts when reasonably necessary to enforce these Terms, protect users or XOXO, address fraud or safety concerns, comply with law, or meet payment-provider requirements.

Where appropriate, we will notify you of significant action and provide a way to appeal. We may act without advance notice when needed to address urgent safety, fraud, legal, or security concerns.

11. Copyright complaints

To report copyright infringement, email [email protected] with the information needed to identify the copyrighted work, the allegedly infringing material and its location on XOXO, your contact information, and the statements required by applicable copyright law. A counter-notice may be submitted in response to a copyright removal when permitted by law. Knowingly submitting materially false information in a copyright notice or counter-notice may have legal consequences.

12. Privacy

The XOXO Privacy Policy explains how we collect, use, and disclose personal information, including account details, messages, transaction records, and Creator verification information.

13. Availability and changes

We may update, modify, or discontinue features and may temporarily suspend the Services for maintenance, security, legal, or operational reasons. We do not guarantee uninterrupted access.

We may update these Terms. For material changes, we will provide notice through the Services or by email before the changes take effect, unless an earlier change is necessary for legal, security, or operational reasons. The updated Terms will state their effective date. Continued use after that date means you accept the updated Terms.

14. Account closure and termination

You may stop using the Services and request account closure through your account settings or by contacting [email protected]. We may suspend or terminate access for a violation of these Terms or when reasonably necessary for safety, fraud prevention, legal compliance, or protection of the Services.

Closing an account does not erase transaction records, payout records, audit logs, or information that must be retained for legal, accounting, fraud-prevention, or dispute-resolution purposes. Pending payout requests and balances remain subject to these Terms and applicable law.

15. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available.” XOXO disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. This section does not exclude a warranty or right that cannot legally be excluded.

16. Limitation of liability

To the fullest extent permitted by law, XOXO will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from or related to your use of the Services.

Nothing in these Terms limits liability to the extent that applicable law does not permit that limitation.
